Franchisor provides Confidential Operating Manuals (approximately 30 total pages) covering uniformed standards, specifications and operating requirements, with right to modify periodically. Franchisor requires franchisee to purchase, maintain and update POS system meeting franchisor specifications at franchisee's cost (estimated $3,000-$15,000 purchase; $1,500-$2,000 annual maintenance). Franchisor has full access to POS system login information and data including sales, consumer trends, food and labor costs, and financial information, with no contractual limitations on access. Franchisor may introduce additional required computer software and hardware which franchisee must purchase and maintain. Franchisor establishes and maintains websites, social media pages, and electronic commerce activities; franchisee prohibited from maintaining own website or social media presence without prior written consent.
