Proprietary business management software (web-based, developed by Proforma, accessed via Chrome, Firefox, Safari, or Microsoft Edge browsers) required for electronic communication of customer purchase orders and vendor billing; no up-front fee but $100/month Communication and Technology Support Fee ($1,200 annually) included in license; estimated $0-$100 annually for maintenance/support; computer hardware cost $0-$4,000 depending on existing equipment; antivirus software with active support and daily updates required; must implement within 15 days of Business Commencement Date; franchisor may require revisions with 30 days' notice at no limitation on frequency or cost; franchisor owns all generated/stored information with independent access; Communication and Technology Support Fee includes 4 e-mail addresses for sales up to $1,000,000 (3 additional per additional $1,000,000), one voice message box, additional boxes at $10 each. Confidential Operations Manual: 72 pages as of December 31, 2025, covering Proforma System, Code of Conduct, Compliance, Infrastructure, Business Structure, Insurance, Operations, Vendors, Order Entry/Processing, and other operational topics; franchisor reserves right to modify anytime.
