Technology Systems: franchisor designates point-of-sale systems, computer hardware, software (including cloud-based applications), telecommunications systems, security systems, mobile applications, loyalty programs, and related equipment/services that franchisee must purchase and use. POS system collects Store-level operational and transaction data (sales and inventory); franchisor may access this data for reporting, system administration, brand standards enforcement, and support. Franchisee must maintain Technology Systems in good working order at own expense and comply with franchisor's upgrade/replacement requirements with no contractual limitations on frequency or cost. Operation Manual: franchisor provides access to confidential Manual containing mandatory standards, procedures, specifications, supplier information, and guidelines; franchisor may modify Manual upon notice. Franchisor may develop proprietary technology or enter third-party agreements requiring commercially reasonable licensing, support, or maintenance fees.
